Onsite Recovered Energy, LP (Onsite Energy) is a Limited Partnership (in South Africa called a “Partnership en Commandite”) with PanzaWorx, cc as the General Partner.
PanzaWorx, cc is a South African based technology lean venture start up emerging from about 4 years’ internal bootstrap R&D activity based on IP developed and licensed from its founder and incorporator. We have investment opportunities from time to time and we form limited partnerships with us as GP and individual or corporate investors as limited partners on a per project basis where we may have an opportunity to generate hydro power in either micro hydro, or small hydro installations where several Power Pontoons could be installed on a river or canal.
For instance; We install the Pontoons with remote readable meters and enter into a long term industry standard Interruptible Power Purchase Agreement (IPPA) with the end user for a period between ten and twenty years. No more than 20 accredited, sophisticated high net worth investors may participate in Limited Partnership Interests with the business of the Partnership being managed by the General Partner (GP) pursuant to a Partnership Agreement between the LP’s and the GP.
The liability of a limited partner (investor) is limited to the amount of the investment, and the investor will participate in its proportionate share of the income of the partnership for the duration of the Power Purchase Agreement through long term passive income.
